Company formation

Set up an SRL, with or without a holding, as a case you work on step by step: structure, documents, registration and what the company still has to do afterwards.

What it covers

A case (/cases) holds everything about forming one company or a small group: who the associates are, the capital, the administrator, the documents, the ONRC filing and, after registration, the steps the new company still has to take. Old links (/start-a-company, /formation) open the case list.

Starting a case

Select New case and choose what you are setting up:

  • A new company - one SRL.
  • A new company, owned through a holding - each founder owns through their own company. More steps at the start, but a future sale can fall under the participation exemption.
  • A group restructure, a change to an existing company or a dissolution.

The same case can be filled in three ways - a form, a step-by-step wizard or a chat. Switching between them never loses what you entered.

Guided steps

Each company in the case has a list of steps with deadlines and the legal basis of each. The active step opens in place; a step that depends on another unlocks once the first is done. A step marked to confirm rests on a rule not yet checked at the official source - read it before you act.

When a step is done, its evidence card shows what proved it (for example the ONRC number or the domain), the date, and a link back to where the work was done.

If the company is owned through a holding, two lists appear: first the holding's steps (the holding is formed first and then founds the operating company), then the company's own. When you record the name reservation or the registration certificate in the case, the matching step closes on its own with the number as evidence. The holding's certificate also closes the "holding has a CUI" step of the company it founds. A step still waiting on other steps stays open.

Next to the steps, "Worth knowing before you decide" cards cover micro vs profit tax, the VAT threshold, an associate's single micro slot and dividends to the holding. Each shows its figures and legal basis; those marked to confirm are not settled in practice yet. They are general information, and the decision is yours.

After registration the steps move to the new company's account and show on its dashboard. Some of them are done directly in Brivio:

  • Domain - search and buy the domain from Web & domains. A domain bought in Brivio closes the step on its own, with the domain as evidence. From the domain list you can then open its DNS zone and Set up e-mail, which creates the domain on Brivio mail and publishes the mail records in the zone.
  • Bank, SPV, e-Factura, tax regime, payroll and contracts link to the matching screen. They close on their own when you do the work in Brivio: connecting the bank, connecting SPV to ANAF (production), the first invoice series once SPV is connected, and changing the tax regime.
  • Trademark - first the EUIPO SME Fund voucher (optional, applied for before filing), then the OSIM filing; the 6-month window for the EU trademark with priority runs from the day you mark the OSIM filing done.
  • Assignment of founder rights is followed by a step for the tax withheld when the price is paid.

The new company inherits its tax regime (micro or profit) and VAT status from the case, so its filing deadlines are right from day one. Brivio only does this when the company has no regime set yet; the value shows in Settings → Tax regime, where you can correct it.

Case board

The Case board (/cases/board) shows every case you can see, grouped by stage, with its progress and last update. It is read-only: a case's stage follows from its documents and filings, so it moves forward only from inside the case. Cases run by a practice you belong to appear on the board, but open only for the people invited to the case.

Important

Brivio prepares and checks the documents and tells you what the law requires. The filing with ONRC and OSIM is signed by you (qualified electronic signature) or by your lawyer, and payments to ANAF go through the single account. The decisions stay with you.
